Phatisa Exits Deltamune in Strategic Sale to Vaxxinova, Boosting Africa’s Animal Vaccine Capabilities

Phatisa, through its Phatisa Food Fund 2, has finalized the sale of its stake in Deltamune (Pty) Ltd, a leading South African animal vaccine manufacturer, to Vaxxinova International B.V., a global animal health company and part of the EW Group. The acquisition marks a major step in strengthening regional vaccine production and bolstering Africa’s animal health sector. Terms of the deal remain undisclosed.

Established in 1995, Deltamune specializes in the development and manufacture of vaccines for production animals, particularly poultry, as well as ruminants like cattle and sheep. The company produces over 15 million doses annually, supplying markets across 12 countries in the SADC and COMESA regions. Its product line includes both commercial and autogenous (customized) vaccines, addressing critical diseases such as Avian Influenza and Newcastle Disease.

Phatisa acquired full ownership of Deltamune in 2022 from HL Hall & Sons, alongside company management. Since then, Deltamune has expanded into three new markets, broadened its product portfolio, and strengthened its distribution footprint under Phatisa’s strategic oversight.

Vaxxinova, which operates in more than 20 countries, brings significant research, development, and commercial capabilities to the table. This acquisition is part of its strategy to grow its presence in emerging markets, where demand for animal health solutions is rising amid global concerns over food security, zoonotic disease prevention, and sustainable agriculture.

The transaction was supported by DLA Piper Advisory Services (Pty) Ltd, who acted as legal advisors to Phatisa and Deltamune. RSM South Africa provided legal advisory and due diligence services for Vaxxinova.

This acquisition not only strengthens Africa’s capacity to respond to animal health threats but also contributes to long-term regional resilience in the agriculture and food production sectors.
